All payments for services are due upon receipt of the invoice unless agreed otherwise in writing. For ongoing monthly promotion and marketing retainers, billing will be processed on a recurring monthly basis. Clients must maintain a valid payment method on file with our authorized payment gateways. If a payment fails, services will be temporarily suspended until the outstanding invoice is cleared.

Any discrepancies, errors, or disputes regarding an invoice must be submitted to TOJOOES LLC in writing via email within fourteen (14) days of the invoice date. If no dispute is raised within this 14-day window, the invoice and charges shall be deemed accepted and valid by the client.

Unless otherwise stated in a specific client contract, all marketing strategies, custom software integrations, and materials created by TOJOOES LLC prior to final delivery remain the intellectual property of TOJOOES LLC. Upon full payment of all outstanding invoices, the client is granted a non-exclusive license to use the final deliverables for their intended business purposes.

To the maximum extent permitted by applicable law, TOJOOES LLC, its directors, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to the use or inability to use our marketing services.

These Terms and Conditions and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any legal actions arising from these terms shall be filed exclusively in the courts located within Collin County, Texas.
